To all enterprises:
In accordance with the requirements of the plan for building Shanghai into an international trade center during the 13th Five-Year Plan period, and to implement the Notice of the Shanghai Municipal Commission of Commerce, the Shanghai Municipal Development and Reform Commission, the Shanghai Municipal Finance Bureau and the Shanghai Municipal Government Cooperation and Exchange Office on Issuing Several Opinions on Encouraging Enterprises to Establish Trade-Oriented Headquarters Serving China and Facing the World, as well as the notice on launching the second round of trade-oriented headquarters recognition applications, the following notice is issued on enterprise applications for platform-transaction trade-oriented headquarters recognition.
I. Application conditions for recognition
A trade-oriented headquarters shall be registered in Shanghai and have independent legal-person status. In addition to Shanghai, it shall have two or more branches with a certain proportion of business coverage and unified management. For platform-transaction enterprises, platform transactions shall be the main business, registered members or resident merchants shall exceed 5,000, and more than 30 percent shall be non-Shanghai enterprises. For consumer-facing platform enterprises, 2016 transaction volume shall exceed RMB 5 billion. For enterprise-facing platforms providing business-to-business transactions, 2016 transaction volume shall exceed RMB 15 billion.
II. Application procedures and material requirements
1. Applicant enterprises shall submit the following materials to the Shanghai E-Commerce Promotion Center, which serves as the Three Services window authorized by the Three Services Promotion Office of the Municipal Commission of Commerce:
1) Copy of the business license of the legal person; 2) 2016 financial statements; 3) 2016 tax payment certificate issued by the competent tax authority; 4) list of enterprises invested in, authorized for operation and management, or covered by business operations; 5) trade-oriented headquarters application form, Attachment 1; 6) enterprise commitment letter, Attachment 2.
2. The Shanghai E-Commerce Promotion Center shall review accepted application materials, enter recommendation opinions on the trade-oriented headquarters application form and affix its seal, complete the trade-oriented headquarters application summary form, Attachment 3, and submit it together with the enterprise materials to the Municipal Commission of Commerce before March 31, 2017.
3. After re-examination by the Municipal Commission of Commerce, enterprises that pass the review will be issued recognition certificates and plaques in a unified manner.
III. Relevant requirements
Relevant platform enterprises should attach great importance to this work and truthfully submit materials according to their enterprise characteristics, industry characteristics and innovative models.

Attachment 1: Trade-Oriented Headquarters Application Form
Enterprise name, with seal; registered address; contact person, position, telephone and email; enterprise nature, such as state-owned, foreign-invested or private; number of branches outside Shanghai; enterprise category A, B, C or D.
Applicant enterprises shall complete the relevant information according to the type of their main business. Category A: domestic wholesale and retail, including total operating revenue in 2016, domestic wholesale and retail revenue in 2016, and proportion of main business. Category B: international trade in goods, including total operating revenue in 2016, revenue from international goods trade in 2016, and proportion of main business. Category C: logistics warehousing or international trade in services, including total operating revenue in 2016, revenue from logistics warehousing or international service trade in 2016, and proportion of main business. Category D: platform transactions, including number of registered members or resident merchants, number of non-Shanghai enterprises among them, proportion of non-Shanghai enterprises, 2016 transaction volume, target users, whether consumers or enterprises, and enterprise characteristics such as business content, operating model and innovation highlights.
Recommendation opinions of the district commerce authority shall be sealed and dated. The form shall be printed on both sides in duplicate, with one copy retained by the district commerce authority and one copy submitted to the Municipal Commission of Commerce.
Attachment 2: Enterprise Commitment Letter
The applicant undertakes as follows: 1. The applicant applies for recognition as a trade-oriented headquarters in accordance with relevant laws and regulations and has fully understood all content notified by the administrative authority. 2. All documents submitted by the applicant to the recognition authority are true, valid and complete, comply with laws and regulations of the People's Republic of China, and the information filled in is fully consistent with the facts. The signatories of all investors are their legal representatives or persons authorized in writing by their legal representatives. 3. The applicant accepts inspection by the recognition authority on whether the application content is true. If the actual situation is found to be inconsistent with the submitted content, the recognition authority has the right to require rectification within a prescribed period. For enterprises already recognized, the recognition authority may revoke headquarters qualification. 4. If any of the above is untrue or involves deception of the approval authority, the applicant, including any entrusted intermediary, shall bear all legal responsibilities.
