Bylaws of the Shanghai Convention and Exhibition Industries Association
Chapter I General Provisions
Article 1 The name of the Association is Shanghai Convention and Exhibition Industries Association. Its English name is Shanghai Convention & Exhibition Industries Association, abbreviated as SCEIA.
Article 2 In accordance with the Regulations on the Registration and Administration of Social Organizations, the Association is a non-profit social organization legal person voluntarily formed by enterprises engaged in the conference and exhibition industry in Shanghai and other related economic organizations, implementing industry services and self-regulatory management.
Article 3 In accordance with the Constitution of the Communist Party of China, the Association shall establish an organization of the Communist Party of China, carry out Party activities, and provide necessary conditions for the activities of the Party organization. If the number of full Party members is fewer than three and the conditions for independently establishing a Party organization are not yet met, Party work may be carried out in the Association by establishing a joint Party organization, appointing a Party member as the liaison officer for Party building work, or having a Party-building work instructor assigned by the higher-level Party organization.
The Association shall invite the person in charge of the Party organization to attend or sit in on management meetings of the Association. The Party organization shall put forward opinions on important matter decisions, major business activities, large expenditures, acceptance of large donations, foreign-related activities, and other matters of the Association.
Article 4 The purpose of the Association is to comply with the laws and regulations of the People's Republic of China; under the guidance of relevant government departments, assist the government in industry administration; provide services to members; protect the lawful rights and interests of members; improve the overall quality of the industry; establish an industry self-regulation mechanism; organize international industry exchange and cooperation; safeguard fair competition in the industry; communicate between members and the government and society; and promote the healthy development of Shanghai's convention and exhibition industry.
Article 5 The registration administration authority of the Association is the Shanghai Municipal Civil Affairs Bureau, and the industry competent authority is the Shanghai Municipal Commission of Commerce. The Association accepts supervision, administration, and business guidance from the registration administration authority and the industry competent authority.
Article 6 The domicile and activity area of the Association are Shanghai.
Chapter II Tasks, Business Scope, and Activity Principles
Article 7 The tasks of the Association are to strengthen industry service, industry self-regulation, industry representation, and industry coordination:
- Formulate industry standards, implement industry self-regulatory management and industry coordination, provide industry services, and lawfully protect the legitimate rights and interests of the industry and enterprises and institutions within the industry.
- Undertake industry activities such as international conferences, international exhibitions introduced into China, and organized overseas exhibitions.
- Organize industry investigations on anti-dumping, anti-monopoly, anti-subsidy, and related matters, or submit investigation applications to relevant government departments.
- Carry out exchanges and cooperation with convention and exhibition industry associations within and outside China.
- Participate in government decision-making demonstrations related to the development and reform of the convention and exhibition industry and to industry interests; put forward suggestions on relevant policies and legislation; and participate in relevant hearings held by the government.
- Carry out statistical surveys of the convention and exhibition industry; organize and implement industry admission qualification evaluation, project evaluation, talent verification, information release, and related work; and undertake other related work authorized or entrusted by relevant government departments.
- Assist the government in industry administration of various exhibitions and conferences held in Shanghai.
- Guide and supervise member units in lawful operation, compliance with industry rules and conventions, and protection of the overall interests of the industry.
- Coordinate relationships among members, between members and non-members in the industry, and between members and operators, consumers, and other social organizations in other industries.
- Develop members and regularly hold membership meetings of the Association.
- Organize lectures, seminars, and business training; provide consulting and intermediary services; and edit and publish newsletters, bulletins, journals, and relevant business books.
- Undertake other matters entrusted by government departments.
Article 8 The business scope of the Association includes industry coordination, project application agency, information provision, consulting, training, certification, evaluation, investment promotion, statistics, and annual review services.
Article 9 The activity principles of the Association are as follows:
- Comply with the Constitution, laws, regulations, and national policies; practice the core socialist values; observe social morality; consciously safeguard national unity, security, and ethnic solidarity; consciously safeguard national interests, public interests, and the lawful rights and interests of other organizations and citizens; observe public morality and public order and good customs; and carry out public-benefit or non-profit activities in accordance with the approved bylaws.
- Run the Association democratically, implement democratic centralism, and establish systems of democratic decision-making, democratic election, and democratic management. The formation of leading bodies and decisions on major matters shall be subject to collective discussion and decided according to the principle that the minority is subordinate to the majority.
- When carrying out activities, the Association shall be honest and trustworthy, just and fair, shall not practice fraud, and shall not damage the interests of the state, members, or individuals.
- The Association follows the principle of independent operation, with independent work, self-employed personnel, and self-raised funds.
Chapter III Members
Article 10 The Association is composed of unit members.
Article 11 Applicants for membership in the Association must meet the following conditions:
- Voluntarily join the Association.
- Recognize these Bylaws.
- Be an enterprise in the same industry or another related economic organization.
- Hold relevant certificates such as a business license.
Article 12 The procedures for admission to membership are:
- Submit a membership application.
- Obtain review and approval by the secretariat authorized by the council, and receive the relevant certificate approving admission to membership.
Article 13 Members enjoy the following rights:
- The right to elect, be elected, and vote in the Association.
- The right to participate in activities of the Association.
- Priority in obtaining services from the Association.
- The right to know, including access to the Bylaws, rules and regulations, member roster, council member roster, meeting records, meeting resolutions, meeting minutes, financial audit reports, and other documents of the Association.
- The right to submit proposals, make suggestions, and exercise supervision.
- Voluntary admission and freedom to withdraw from the Association.
- Other rights provided by laws, regulations, and rules.
Article 14 Members shall perform the following obligations:
- Observe the Bylaws of the Association.
- Implement resolutions of the Association.
- Safeguard the lawful rights and interests of the industry.
- Complete work assigned by the Association.
- Report situations to the Association and provide relevant materials.
- Pay membership fees as required.
- Other obligations provided by laws, regulations, and rules.
Article 15 Members of the Association shall not use advantages such as business scale or market share to restrict other members from playing their roles in the Association.
Article 16 A member wishing to withdraw from the Association shall submit a written letter to the Association and return the relevant membership certificate.
If a member, without justified reason, fails to pay membership fees or participate in Association activities for two years, upon confirmation by the secretariat authorized by the council, it shall be deemed to have withdrawn automatically, and the Association shall cancel its membership qualification.
Article 17 If a member seriously violates national laws, regulations, rules, or these Bylaws, its membership qualification shall be cancelled and publicly announced upon approval by more than two-thirds of attendees at a council meeting.
If a member objects to the council's decision to cancel its membership qualification, it may file an appeal. The council shall respond, and when necessary, submit the matter to the general assembly for deliberation before responding.
Article 18 The Association shall establish a complete member roster and member integrity file, and shall make timely adjustments according to changes.
Chapter IV Organizational Bodies and Responsible Persons
Article 19 The highest authority of the Association is the general assembly of members.
Article 20 The responsible persons of the Association refer to the president, vice presidents, and secretary-general.
The responsible persons of the Association shall comply with laws, regulations, rules, and these Bylaws, faithfully perform their duties, safeguard the rights and interests of the Association, and observe the following code of conduct:
- Exercise powers within the scope of their positions and not exceed their authority.
- Not use their powers to seek improper benefits for themselves or others.
- Not engage in activities that damage the interests of the Association.
Article 21 Each term of the general assembly is four years. Upon expiration, a transition assembly shall be held. In special circumstances, it may be convened at any time by decision of the council. If postponement of the transition is required due to special circumstances, it shall be approved by vote of the council and reported to the registration administration authority for approval. The postponement shall not exceed one year.
Article 22 The general assembly shall be held at least once each year. It may be convened only when more than two-thirds of members attend, and its resolutions shall take effect only upon approval by more than two-thirds of members present. For a meeting deciding termination, the resolution shall be valid if approved by more than half of the members actually present.
To convene a general assembly, the main topics, time, and place of the meeting shall be notified in writing to all members seven working days in advance.
An interim general assembly may be convened upon proposal by more than half of council members or more than one-fifth of members. If the president cannot or does not convene it, the proposing council members or members may elect a convener. To convene an interim general assembly, the president or convener shall notify all members in advance and inform them of the meeting topics.
A member may entrust another member as its proxy to attend a meeting. The proxy shall present a power of attorney and exercise voting rights within the scope of authorization. Each member may accept only one proxy authorization.
Article 23 The powers of the general assembly are:
- Formulate and amend the Bylaws.
- Formulate and amend membership fee standards.
- Formulate and amend election methods for the president, vice presidents, council members, and supervisors.
- Elect or remove council members and supervisors.
- Review the work report and financial report of the council.
- Review the work report of the board of supervisors.
- Change or revoke inappropriate decisions of the council.
- Decide major matters such as name change and termination.
- Decide other major matters.
Article 24 The Association shall establish a council composed of council members elected by the general assembly. The council is the executive body of the Association, responsible for leading the Association in carrying out daily work and accountable to the general assembly.
Each term of the council is four years. Upon expiration, a general assembly shall be held for election of a new council. If postponement is required due to special circumstances, it shall be approved by vote of the council and reported to the registration administration authority for approval. The postponement shall not exceed one year. Council members may be re-elected.
The number of council members shall not be fewer than seven, but shall not exceed one-third of the number of members.
Article 25 The powers of the council are:
- Implement resolutions of the general assembly.
- Convene the general assembly and submit work reports and financial reports to it.
- Draft the Bylaws, membership fee standards, and election methods for council members, vice presidents, and the president, and submit them to the general assembly for approval.
- Decide the establishment, change, or cancellation of offices, branches, representative offices, and entity bodies, and report to the registration administration authority.
- Decide the removal of members.
- Elect or remove the president and vice presidents.
- Based on the president's nomination, decide the appointment or dismissal of the secretary-general.
- Based on the secretary-general's nomination, decide the appointment or dismissal of deputy secretaries-general.
- Decide the appointment or dismissal of principal responsible persons of offices, branches, representative offices, and entity bodies.
- Decide the employment or dismissal of full-time staff of each body.
- Lead all bodies in carrying out work.
- Formulate internal management systems.
- Hear and deliberate the secretary-general's work report and inspect the secretary-general's work.
- Decide other major matters.
Article 26 The council shall hold at least two meetings each year and may convene at any time under special circumstances.
Council meetings shall be convened and presided over by the president. A council meeting shall be convened upon proposal by more than one-third of council members. If the president cannot or does not convene it, the proposing council members may elect a convener. To convene a council meeting, the president or convener shall notify all council members seven days in advance and inform them of the meeting topics.
Council meetings shall be attended by council members themselves. If a council member cannot attend for a reason, it may entrust another council member in writing to attend on its behalf, and the power of attorney shall state the authorized matters. Each council member may accept only one proxy authorization.
A council meeting may be convened only when more than two-thirds of council members attend, and its resolutions shall take effect only upon approval by more than two-thirds of council members present.
Additional council members shall be elected by the general assembly. Under special circumstances, they may be co-opted by the council, but co-opted council members must be confirmed by the next general assembly.
Members of the board of supervisors and the secretary-general shall sit in on council meetings.
Article 27 Voting by the general assembly and the council of the Association shall be conducted in a democratic manner. Election of council members, supervisors, the chief supervisor, and responsible persons, excluding an appointed secretary-general, and formulation or amendment of membership fee standards shall be conducted by secret ballot.
Meeting records shall be made for the above meetings. Where resolutions are formed, meeting resolutions shall be prepared based on meeting records and signed for confirmation by the legal representative. After the meeting, they shall be announced to all members. Matters involving major issues shall be copied to the registration administration authority and the industry competent authority.
Article 28 The responsible persons and supervisors of the Association shall meet the following conditions:
- Adhere to the Party's line, principles, and policies, and comply with national laws and regulations.
- Have relatively great influence in the industry.
- Generally not exceed 70 years of age at the maximum age of office.
- Be in good health and able to work normally.
- Have not been subject to criminal punishment involving deprivation of political rights.
- Have full capacity for civil conduct.
Article 29 The president of the Association shall be an enterprise operator. The term of office of the president and vice presidents is four years. The president may generally serve no more than two consecutive terms. If extension of the term is required due to special circumstances, it must be approved by more than two-thirds of members at the general assembly and approved by the registration administration authority before the person may serve.
Article 30 The legal representative of the Association is the president. The legal representative of the Association shall be a resident of mainland China and shall meet the following conditions:
- Not concurrently serve as the legal representative of another social organization.
- Have engaged in industry affairs for more than two years, be familiar with the industry, and possess relevant professional knowledge.
- Have a good social credit record.
- Hold no current public office in a state organ.
- Have no criminal punishment record, except for negligent crimes.
Article 31 The president of the Association exercises the following powers:
- Preside over the general assembly and convene and preside over council meetings.
- Inspect implementation of meeting resolutions.
- Lead the work of the council.
- Sign important documents on behalf of the Association.
- Exercise other powers provided by the Bylaws.
Article 32 The secretary-general of the Association is full-time. Under the leadership of the council, the secretary-general carries out work and exercises the following powers:
- Preside over daily work of the office and organize implementation of the annual work plan.
- Coordinate work carried out by branches and representative offices.
- Draft internal management rules and systems and submit them to the council for approval.
- Propose to the council the appointment or dismissal of deputy secretaries-general and responsible persons of each body.
- Propose to the council the employment or dismissal of staff of each body.
- Report work to the president and the council.
- Handle other daily affairs.
Article 33 The Association shall establish a daily office, the secretariat, to handle its daily affairs.
The Association shall have one secretary-general and several deputy secretaries-general. The secretary-general shall be responsible for presiding over the daily work of the secretariat.
The establishment of the daily office must be approved by the council.
Full-time staff of the Association shall participate in position training organized by the registration administration authority or the industry competent authority, become familiar with laws, regulations, and policies relating to social organizations, and strive to improve professional competence.
Article 34 The Association may establish branches and representative offices according to work needs, and they shall carry out work under the leadership of the Association.
Article 35 The Association shall establish a board of supervisors composed of three supervisors and one chief supervisor. The chief supervisor shall be elected or removed by secret ballot of the board of supervisors. Responsible persons, council members, financial personnel, and secretariat staff of the Association shall not concurrently serve as supervisors. Each term of the board of supervisors is the same as that of the council, and supervisors may be re-elected.
Article 36 The rights and obligations of the board of supervisors are:
- Report work to the general assembly.
- Supervise elections and removals by the general assembly and council; and supervise the council's implementation of resolutions of the general assembly.
- Inspect financial and accounting materials of the Association and report situations to the industry competent authority, registration administration authority, and tax and accounting competent authorities.
- Sit in on council meetings and have the right to raise inquiries and suggestions to the council.
- Supervise compliance by the council with laws and the Bylaws. When the president, vice presidents, council members, secretary-general, or others damage the interests of the Association in business activities, require them to make corrections and, when necessary, report to the general assembly or relevant government departments.
- Preside over internal conflict mediation meetings of the Association, coordinate opinions of all parties to form mediation plans or agreements, supervise implementation of mediation plans or agreements, and, when necessary, propose solutions to be implemented after deliberation and approval by the general assembly.
The board of supervisors shall comply with relevant laws, regulations, and the Bylaws of the Association, accept leadership by the general assembly, and earnestly perform its duties.
Article 37 The board of supervisors must hold a meeting once every six months and may convene at any time under special circumstances.
Meetings of the board of supervisors shall be convened and presided over by the chief supervisor. An interim meeting of the board of supervisors may be convened upon proposal by more than half of the supervisors. If the chief supervisor cannot perform duties for special reasons, another supervisor may be entrusted to convene and preside over the meeting.
A meeting of the board of supervisors may be convened only when more than two-thirds of supervisors attend, and its resolutions shall take effect only upon approval by more than half of all supervisors. Elections and voting by the board of supervisors shall be conducted in a democratic manner, and major matters must be voted on by secret ballot.
Chapter V Management and Use of Property
Article 38 The sources of income of the Association are:
- Membership fees.
- Donations.
- Government funding.
- Income from activities or services carried out within the approved business scope.
- Interest.
- Other lawful income.
Article 39 The income of the Association and its use shall be announced to the general assembly and be subject to supervision and inspection by the general assembly.
If the Association accepts overseas donations or funding, it shall report the acceptance and use of the donations or funding to the registration administration authority and the industry competent authority.
Article 40 Except for reasonable expenditures related to the Association, all income obtained by the Association shall be used for public-benefit or non-profit undertakings approved in the registration or provided in these Bylaws, and shall not be distributed among members. Taxable income and its related costs, expenses, and losses shall be separately accounted for from tax-exempt income and its related costs, expenses, and losses.
Article 41 The property of the Association and its proceeds shall not be used for distribution, except for reasonable salary and wage expenditures.
Expenditures such as wages and welfare benefits for full-time staff of the Association shall be controlled within the prescribed proportion and shall not be used to distribute the Association's property in disguised form. The average salary level of staff shall not exceed twice the per capita salary level of the place where the tax registration is located in the previous year, and staff welfare benefits shall be implemented in accordance with national regulations. Specific measures shall be formulated and implemented by the council in accordance with relevant national policies and paid from the Association's income.
Article 42 No unit or individual may occupy, privately divide, or misappropriate the assets of the Association.
Funders shall not retain or enjoy any property rights over property invested in the Association.
Article 43 The Association shall implement the Accounting System for Non-Governmental Non-Profit Organizations, conduct accounting in accordance with law, establish and improve an internal accounting supervision system, and ensure that accounting materials are lawful, true, accurate, and complete.
The Association shall use social organization receipts prescribed by the state.
The Association accepts tax supervision and accounting supervision lawfully implemented by tax and accounting competent authorities.
Article 44 The Association shall employ accounting personnel with professional qualifications. Accountants shall not concurrently serve as cashiers. When accounting personnel are transferred or leave office, they must complete handover procedures with the person taking over.
Article 45 The business and accounting year of the Association runs from January 1 to December 31 each year. Before March 31 each year, the council shall review and approve the following matters:
- The previous year's business report and final accounts of income and expenditure.
- The current year's business plan and budget of income and expenditure.
- The property inventory.
Article 46 The Association shall conduct a financial audit when changing terms, conduct an outgoing audit of the legal representative when replacing the legal representative, and submit the audit report to the registration administration authority. Before cancellation and liquidation, the Association shall conduct a cessation financial audit.
Chapter VI Annual Inspection, Major Matter Reporting, and Information Disclosure
Article 47 The Association shall accept annual inspection organized by the registration administration authority in accordance with the Regulations on the Registration and Administration of Social Organizations.
Article 48 The Association shall perform reporting obligations in accordance with relevant requirements and guidelines of the registration administration authority for reporting major matters.
Article 49 The Association shall perform information disclosure obligations in accordance with relevant requirements of the registration administration authority for information disclosure.
Chapter VII Termination and Disposal of Remaining Property
Article 50 The Association shall terminate under any of the following circumstances:
- The purpose provided in the Bylaws has been completed.
- A resolution is made to dissolve.
- Dissolution is required due to division or merger.
- Termination occurs for other reasons.
Article 51 To terminate the Association, the council shall put forward a motion for termination. Within 15 days after approval by vote of the general assembly, the matter shall be reported to the registration administration authority.
Article 52 Before termination of the Association, a liquidation organization shall be established under the guidance of the registration administration authority, relevant industry competent authority, and other relevant authorities to clear claims and debts and handle follow-up matters.
The remaining property of the Association shall, under the supervision of the registration administration authority, be used for public-benefit or non-profit purposes, or be donated by the registration administration authority to a social public-benefit organization with the same nature and purpose as the Association, and shall be announced to the public.
Article 53 During liquidation, the Association shall not conduct activities other than liquidation. Within 15 days from the date of completion of liquidation, it shall submit an application for cancellation registration signed by the legal representative and a liquidation report to the registration administration authority to apply for cancellation. The Association shall terminate after cancellation registration is completed.
Chapter VIII Supplementary Provisions
Article 54 These Bylaws were voted on and approved by the first general assembly of the fifth session on October 26, 2018.
Article 55 The right to interpret these Bylaws belongs to the council of the Association.
Article 56 Amendments to these Bylaws must be approved by vote of the council and then submitted to the general assembly for deliberation and approval. Within 30 days after approval by the general assembly, they shall be reported to the registration administration authority for approval.
Article 57 After approval by the registration administration authority, these Bylaws shall take effect from the date of approval by vote of the general assembly.
Article 58 If any provision of these Bylaws is inconsistent with national laws, regulations, rules, or policies, the national laws, regulations, rules, and policies shall prevail.
